By accessing or using the Buddy platform and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

These terms apply to all visitors, users, and others who access or use the platform, including retailers and brands who sign up for a Buddy account.

Buddy is a dual-mode SaaS platform designed for ecommerce retailers and modern brands. Our services include AI-powered product discovery, brand showcase tools, analytics dashboards, integration capabilities, and related features as described on our website.

We reserve the right to modify, suspend, or discontinue any part of the service at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the service.

To access certain features of our platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding the password that you use to access the service and for any activities or actions under your password. You agree to notify us immediately of any unauthorised use of your account.

You agree not to use the platform for any unlawful purpose or in any way that could damage, disable, overburden, or impair our services. You must not attempt to gain unauthorised access to any part of the platform or its related systems.

You may not use our services to transmit any harmful, offensive, or illegal content, or to infringe upon the intellectual property rights of others. Violation of these terms may result in immediate termination of your account.

The Buddy platform, including all content, features, and functionality, is owned by Buddy and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use the platform for your internal business purposes. This licence does not include any right to sublicense, sell, resell, or commercially exploit our services.

You retain ownership of any content you upload or create through the Buddy platform, including product listings, brand assets, and customer data. By uploading content, you grant Buddy a non-exclusive licence to use, store, and process that content solely for the purpose of providing our services.

You are solely responsible for the accuracy, legality, and appropriateness of all content you submit. Buddy does not endorse any user-submitted content and is not responsible for any errors or omissions in such content.

Access to certain features of our platform requires a paid subscription. All fees are stated in USD and are exclusive of applicable taxes. You agree to pay all fees associated with your chosen plan.

Subscriptions are billed in advance on a monthly or annual basis. We reserve the right to change pricing with 30 days' notice. Refunds are provided at our discretion and in accordance with our refund policy.

To the maximum extent permitted by applicable law, Buddy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.

In no event shall Buddy's total liability to you for all claims exceed the amount paid by you to Buddy in the twelve months preceding the claim.

We reserve the right to terminate or suspend your account and access to the service at our sole discretion, without notice, for conduct that we believe violates these Terms of Service or is harmful to other users, Buddy, or third parties.

Upon termination, your right to use the service will immediately cease. All provisions of these terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitation of liability.

These Terms of Service shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in San Francisco, California.

We reserve the right to modify these terms at any time. We will provide notice of any material changes by updating the date at the top of this page. Continued use of the platform after such changes constitutes your acceptance of the new terms.
